Terms of Use for MeetKai Brasil

Welcome to MeetKai Brasil. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MeetKai Brasil ("we," "us," or "our"). These Terms govern your access to and use of our sovereign artificial intelligence services, website, applications, and any related software (collectively, the "Service").

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you are not permitted to use the Service.

1. The Service

MeetKai Brasil provides a sovereign AI platform designed for reasoning agents, process automation, content generation, and data analysis. As a sovereign platform, our infrastructure is located within the Federative Republic of Brazil and we operate in compliance with the LGPD and other applicable regulations.

You acknowledge that, due to the nature of machine learning, the content generated by the Service ("Output") may not always be accurate, complete, or unique. You are responsible for evaluating the accuracy and appropriateness of any Output for your specific use case. The Service is not intended to provide professional advice of any kind (e.g., legal, financial, or medical).

2. User Eligibility and Accounts

• Eligibility: To use the Service, you must be at least 18 years of age and have the legal capacity to enter into a binding contract.
• Account Creation: You agree to provide accurate, current, and complete information during registration and to keep it updated.
• Account Security: You are solely responsible for all activities that occur under your account, whether or not authorized by you. Keep your password confidential and notify us immediately at support@meetkai.com of any unauthorized use.

3. Acceptable Use and Restrictions

You agree that you will not, and will not permit any third party to:

• Use the Service for any illegal, unethical, or unauthorized purpose.
• Generate, transmit, or store content that is unlawful, harmful, defamatory, obscene, invasive of another's privacy, or that promotes discrimination, bigotry, racism, or hate.
• Use the Service to infringe upon the intellectual property rights of any person or entity.
• Attempt to decompile, reverse engineer, disassemble, or otherwise derive the source code or underlying algorithms of the Service.
• Use the Service to develop a competing product or service.
• Employ any automated means, such as scrapers or bots, to access the Service or extract data, except as expressly permitted by our API documentation.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.

4. Intellectual Property Rights

• Our Intellectual Property: All rights, title, and interest in and to the Service, including software, models, graphics, and trademarks, belong to MeetKai Brasil and its licensors.
• Your Content: You retain ownership of the content you provide to the Service ("Input"). You also own the Output generated based on your Input, subject to your compliance with these Terms.
• License to Us: To operate and improve the Service, you grant MeetKai Brasil a limited, worldwide, non-exclusive, royalty-free license to use, host, store, and reproduce your Input and Output. This license is solely for providing, maintaining, and enhancing the Service.
• Feedback: If you provide suggestions, ideas, or feedback concerning the Service ("Feedback"), you grant us the right to use such Feedback for any purpose without obligation or compensation.

5. Fees and Payment

• Subscriptions: Certain features may be offered on a subscription basis. If you purchase a subscription, you agree to pay all applicable fees as described on our website.
• Billing: We may use a third-party payment processor to bill you. You authorize us to charge your chosen payment method for all applicable fees.
• Price Changes: We reserve the right to change subscription fees. We will provide reasonable prior notice of any changes.

6. Data Privacy and Sovereignty

Your privacy is central to our operations. All personal data provided to the Service is handled in accordance with our Privacy Policy. We are committed to processing and storing personal data primarily within Brazilian territory in strict compliance with the LGPD.

7. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice or liability, for any reason, including a breach of these Terms. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination (e.g., ownership, disclaimers, indemnities) will remain in effect.

8. Disclaimers and Limitation of Liability

• Warranty Disclaimer: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
• Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY BRAZILIAN LAW, MEETKAI BRASIL AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

9. General Provisions

• Governing Law: These Terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict of law principles.
• Jurisdiction: Any legal action arising from these Terms must be brought exclusively in the courts of São Paulo, SP, Brazil.
• Entire Agreement: These Terms constitute the entire agreement between you and MeetKai Brasil regarding the Service and supersede prior agreements.
• Severability: If any provision is held invalid, the remaining provisions will remain in full force and effect.

11. Indemnification

You agree to defend, indemnify, and hold harmless MeetKai Brasil, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of and access to the Service.
• Your violation of any term of these Terms of Use.
• Your violation of any third-party right, including any copyright, property, or privacy right.
• Any claim that your User Content caused damage to a third party.

This indemnification obligation survives termination of the Terms and your use of the Service.

12. Modification of These Terms

We may modify these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice before the new terms take effect. By continuing to access or use the Service after revisions become effective, you agree to be bound by the updated Terms. If you do not agree, stop using the Service.
